Choose Your Company Structure Thai Limited Company

The standard structure: at least 3 shareholders, majority Thai ownership (51%+), minimum 15 baht registered capital (though banks and government agencies expect at least 1-2 million baht in practice). Most foreign entrepreneurs choose this when they have a Thai business partner or don’t qualify for BOI. Registration takes about 2 weeks from name reservation to tax ID.

Choose Your Company Structure BOI-Promoted Company

100% foreign ownership, corporate tax holidays for 3-8 years, import duty exemptions, permission to own land. The catch: your business activity must be on the BOI’s promoted list (200+ activities including tech, manufacturing, R&D). Application takes 40-90 days for BOI approval, then 2 weeks for company registration.

Choose Your Company Structure Representative Office

Not a real company – it’s a liaison office that lets you do market research, source products, and coordinate with Thai suppliers. You cannot sell anything, sign contracts, or earn revenue. All operating money must come from your head office abroad. Useful for testing the market before committing.

Choose Your Company Structure Foreign-Majority Company

You can own more than 49% without BOI if you get a Foreign Business License from the DBD. Requirements: minimum 3 million baht capital per restricted activity, plus demonstrating that your business benefits Thailand. The application process takes 2-4 months and isn’t guaranteed.

Choose Your Company Structure Treaty of Amity

US citizens and US companies can own 100% of a Thai company under the 1966 US-Thai Treaty of Amity. Most business activities are allowed except a few reserved sectors (media, farming, land trading). Application goes through the US Embassy and the Department of Business Development.

The Registration Process

Day 1-2: We reserve your company name at the DBD (you give us three choices). Day 3-5: We draft your memorandum of association and coordinate the statutory meeting with your shareholders. Day 6-10: We file everything with the DBD and get your registration certificate. Day 11-14: Tax ID registration, SSO registration if you have employees, and corporate seal production.

After that, we help you open a bank account (2-4 weeks depending on the bank) and set up Xero for your accounting.
